This EULA sets out the terms for installing and using the TSteel 3D software and its documentation.

Read this document before installing or using TSteel.

By accepting this EULA or downloading, installing or using the Software, You acknowledge that You have read and agree to its terms. If You do not agree, You must not download, install or use the Software.

Acceptance and scope

This End User License Agreement (“EULA”) is an agreement between You and TSteel 3D Software and governs the licensing and use of TSteel, its documentation and the materials supplied with the Software.

By electronically accepting this EULA, requesting the download, installing or using any edition of the Software, You:

  1. acknowledge that You have read and understood this EULA;
  2. agree to the obligations, limitations and restrictions set out herein;
  3. represent that You have legal capacity and, when acting on behalf of a company, authority to bind that company to this EULA; and
  4. confirm that the Software will be installed and used lawfully and with proper authorization.

Definitions

Documentation
Manuals, videos, instructions and other technical materials relating to the Software, made available electronically or online.
EULA
This End User License Agreement.
License
The limited right to use the Software, granted according to the applicable edition and term.
License Key
An alphanumeric code that identifies a License and enables the corresponding features.
License Term
The period during which a paid License remains valid.
Software
The TSteel program, its components, updates and associated documentation.
User
The individual who uses the Software on their own behalf or with authorization from a legal entity.
You
The individual or legal entity that accepts this EULA, acquires a License or uses the Software.

License grant

Subject to compliance with this EULA, TSteel 3D Software grants You a limited, non-exclusive, non-sublicensable and non-transferable license to install and use the Software during the applicable term and with the features of the applicable edition.

TSteel uses a single installer. Available features are determined by the License edition or by the absence of an active License Key:

  • TRIAL: a free edition for learning and evaluation, valid for renewable 30-day periods, subject to the limitations shown on the license comparison page.
  • CORE: a paid edition with the corresponding features described on the pricing page, valid for the purchased term.
  • FULL Monthly and FULL Annual: paid editions with the corresponding features described on the pricing page, valid for the purchased term.
  • VIEWER: a limited viewing mode made available automatically after a FULL License expires.

Paid Licenses are granted for a fixed term. No perpetual License is offered and Licenses do not renew automatically. A new purchase is required to continue using a paid edition after it expires.

Each License permits one concurrent use. A License may be activated and deactivated for use on different computers, provided it is not used on more than one device at the same time.

Intellectual property

The Software and Documentation are protected by copyright, intellectual property laws and applicable treaties. All rights in the Software and Documentation belong to TSteel 3D Software or its respective licensors.

This EULA grants only a limited right of use. No ownership rights in the Software, its code, technology, trademarks, interfaces or Documentation are transferred to You.

Use restrictions

Except where expressly permitted by law or authorized in writing by TSteel 3D Software, You may not:

  1. copy, reproduce, distribute, sell, rent, lend, sublicense or make the Software, License Key or Documentation available to third parties;
  2. share a License Key to permit concurrent use or use by unauthorized persons;
  3. reverse engineer, decompile, disassemble, attempt to access the source code or create derivative works from the Software;
  4. remove or alter proprietary notices, identifiers, protection mechanisms or licensing controls;
  5. circumvent, disable or attempt to circumvent technical limitations, validations, edition restrictions or security mechanisms;
  6. use the Software unlawfully, fraudulently, abusively or in a manner capable of compromising the Software, license server or third-party systems; or
  7. use the Software or Documentation to develop, train or offer a competing product through misappropriation of TSteel 3D Software technology, materials or proprietary information.

License activation and control

Activation, deactivation and certain License validations require a connection to the license server. Once activated, the Software may operate offline but must complete periodic online validation, normally once a week.

To provide and protect Licenses, TSteel 3D Software may process technical and identification data required to control Licenses and their use, including activation, deactivation and validation records, edition, validity and technical identification of the device or installation.

This data will be used to administer Licenses, prevent misuse, maintain security and provide support in accordance with the Privacy Policy and applicable law.

User responsibilities

You are responsible for maintaining the confidentiality of Your License Keys, controlling access to the Software and ensuring that all Users under Your responsibility comply with this EULA.

TSteel does not perform structural calculations, analysis or design. The Software assists with modeling, detailing, documentation and preparation of fabrication information. Definition, verification and approval of technical solutions remain the responsibility of duly qualified professionals.

You must verify the accuracy of models, drawings, lists, exported files and other outputs before using them for design, procurement, fabrication, erection or construction. You are also responsible for maintaining backups of Your files and using equipment compatible with the Documentation.

Support and updates

During the term of a paid License, technical support and general updates made available for the applicable edition are included, subject to the channels, hours and conditions published by TSteel 3D Software.

TSteel 3D Software may update, correct, adapt or modify the Software and its Documentation. Features, formats and technical requirements may evolve over time, subject to rights guaranteed by applicable law.

Limited warranty and disclaimer

To the extent permitted by applicable law, the Software and Documentation are provided “as is.” TSteel 3D Software does not warrant that the Software will operate without interruption or error, meet every particular purpose of the User, or be compatible with equipment, configurations, files or programs not identified in the Documentation.

TSteel 3D Software will seek to correct material defects according to its technical assessment and development cycles, without warranting that every error will be corrected or every request will result in a change to the Software.

Limitation of liability

To the maximum extent permitted by applicable law, TSteel 3D Software will not be liable for loss of revenue, profit, production or use; business interruption; delays; loss or inaccuracy of data; indirect costs; or indirect, special, incidental or consequential damages arising from use of or inability to use the Software.

Where permitted by law, TSteel 3D Software’s total monetary liability relating to this EULA will be limited to the amount actually paid for the License connected with the event giving rise to the claim during the preceding twelve months.

Nothing in this EULA excludes or limits rights or liabilities that cannot be excluded under Brazilian law, including consumer rights where applicable.

Term, suspension and termination

This EULA becomes effective when accepted by You and remains applicable while the Software is installed or used. Each paid License remains valid for the purchased term, calculated according to purchase confirmation and License issuance.

TSteel 3D Software may suspend or terminate a License in the event of:

  • a material breach of this EULA, especially the use restrictions;
  • credible evidence of fraud, improper sharing, tampering or a security risk;
  • cancellation, refund, chargeback, dispute or lack of confirmation of the corresponding payment; or
  • a legal, judicial or administrative order.

Whenever reasonably possible, an opportunity to clarify or remedy the issue will be provided before suspension. Suspension may be immediate in cases of fraud, security risk, serious breach or compliance with a legal order.

Upon termination or expiration of a License, the features associated with the expired edition will cease. Provisions concerning intellectual property, restrictions, liability, data protection and governing law will survive where they are intended by their nature to remain in effect.

Data protection

The processing of personal data relating to the website, download, purchase, licensing, support and use of the Software will comply with Brazilian Law No. 13,709/2018 — the Brazilian General Data Protection Law (LGPD) — and other applicable rules.

Data categories, purposes, legal bases, sharing, retention periods and methods for exercising data subject rights are detailed in the Privacy Policy, which forms part of this EULA where applicable.

Changes to this EULA

TSteel 3D Software may update this EULA to reflect legal, technical, commercial or security changes. The effective version date will be shown at the beginning of this document.

When a change materially affects Users’ rights or obligations, TSteel 3D Software will use a reasonable means of communication or request renewed acceptance, depending on the nature of the change and applicable law.

Governing law and jurisdiction

This EULA is governed by the laws of the Federative Republic of Brazil.

The courts of Curitiba, State of Paraná, Brazil, will have jurisdiction over disputes relating to this EULA, without prejudice to any other venue mandatorily guaranteed by applicable law, particularly in consumer relationships.
